Terms of Service

Effective October 17, 2026

These terms cover your use of Sproutly, the website and apps at usesproutly.com. Sproutly is operated by Natively, referred to here as we or us. By creating an account or using Sproutly you agree to these terms. If you do not agree, do not use Sproutly.

1. Sproutly is not legal advice

Sproutly is software. It is not a law firm, it does not employ attorneys to review your situation, and using it does not create an attorney-client relationship with anyone.

Sproutly shows general summaries of California rental law, such as common notice periods, the statewide rent cap formula and deposit limits, each with the statute it comes from and the date we last checked it. These summaries describe the law in general. They do not say whether a rule applies to your property, your tenant or your situation, and they leave out exceptions, court decisions and city or county rules. The values Sproutly uses for your own notices, rent changes and deposits (days, dates, caps, amounts) are the ones you enter. The summaries, templates and warnings are not attorney reviewed. Laws change, courts interpret them, and cities add their own rules. Sproutly can be wrong, incomplete or out of date, and it does not know every fact about your property, your tenant or your city.

Treat everything Sproutly shows you as a starting point. Before you serve a notice, raise rent, keep any part of a deposit, deny an application, or start an eviction, confirm what the law requires with a California attorney.

2. You make the decisions and you are responsible

You decide, review and serve every notice, lease, deposit statement, rent change and screening decision. Sproutly drafts from what you enter, and it never serves a legal notice for you. You approve and serve. You are responsible for what you send, sign, charge and serve, and for how you treat applicants and tenants under fair housing law. You agree not to rely on Sproutly as legal advice or as a substitute for a California attorney.

3. Forms and general information

Sproutly provides forms, templates and general information. It does not apply the law to your facts on your behalf, and it does not choose a form or a course of action for you the way an attorney would. When Sproutly suggests a form, a date or an amount, that is a starting point built from the information you gave us. You choose what to use, and you check it before you do.

Sproutly does not prepare or file court papers, does not help with an eviction case (an unlawful detainer) in court, and does not choose which notice you serve or whether to serve one. It is not an unlawful detainer assistant or a legal document assistant. Sproutly charges nothing for notices, leases, statements or other forms. For a court case, or for help deciding what to do, contact a California attorney. The State Bar of California lists certified lawyer referral services, and the California Courts Self-Help Guide covers court steps.

4. Tax and money reports

Sproutly’s expense categories, Schedule E worksheet, 1099 lists, profit and loss reports and owner statements are bookkeeping built from what you enter. They are not tax or accounting advice. Confirm them with whoever prepares your return. Thresholds and rates change.

5. Tenant screening and consumer reports

Sproutly is not a consumer reporting agency. Reports come from the agency named on screen. When you order or accept a report, you certify that you have a permissible purpose, which is deciding a rental application, and that you will use the report only for that.

You alone own the duty to give an adverse action notice when a report plays any part in a denial, a higher deposit or another adverse decision. Sproutly drafts a notice from the report record. You complete, check and deliver it.

The applicant pays Sproutly for the report, and Sproutly keeps a margin, stated on the pricing page. Income verification summaries and pay stub readings are automated and can be wrong. You check them.

Application fees paid through Sproutly are refunded to the applicant on their own when no screening was run on that application: the applicant withdrew, the screening could not be completed, or the home was rented to someone else first. Whether to refund a fee after a screening ran, including on a denial, is your decision; Sproutly asks you each time and does not decide it for you.

6. Electronic signatures and records

Leases, addenda and other documents can be signed electronically through Sproutly. Each signer consents at signing and may ask for a paper copy. You are responsible for keeping the signed copy and giving the tenant one. Sproutly is not a party to anything signed.

7. Listings and advertising

Public listing pages publish what you write. You are responsible for the wording under fair housing and advertising law. Sproutly’s wording checks are a help, not a guarantee. Sproutly is not a real estate broker or agent and does not represent you.

8. Messages, texts and AI drafts

Texts go only to people who opted in. You are responsible for the messages you send. Optional AI drafting sends the thread or document text to a model provider to produce one draft. A draft is yours once you send it. Model-drafted text can be wrong or incomplete. You review it, and you are responsible for anything you send or publish. Sproutly makes no promise that model output is accurate. The drafter refuses legal topics, but that filter is a help, not a guarantee.

9. Partner offers and referral revenue

Sproutly may show tenants and applicants optional partner offers, such as renters insurance, movers and internet, and may be paid when they sign up. Sproutly is not an insurance agent or broker and does not recommend any product. The partner’s terms apply.

10. Your account

Keep your sign-in secure and your information accurate. You are responsible for activity under your account, including people you invite to it. You may use Sproutly only for rental property you own or manage and only in ways the law allows.

11. Tenant and applicant information

You are responsible for having the right to put tenant and applicant information into Sproutly and for using it lawfully, including giving any notice the law requires. How we handle it is in the Privacy Policy.

12. Payments

Rent and other payments move through a third-party payment processor under its own terms. Sproutly is not a bank and does not hold your money. If bank transfer is offered, bank transfers can fail or be reversed after they appear to succeed, so check your bank account before you treat a payment as final.

Sproutly is not a money transmitter. The processor’s fee is shown before a method is saved. Saving a card for autopay authorizes the processor to charge it on the schedule shown until the tenant cancels.

13. No warranty

To the extent the law allows, Sproutly is provided “as is” and “as available”, without warranties of any kind, including any warranty that it is accurate, complete, legally sufficient, uninterrupted or fit for a particular purpose.

14. Limit of liability

To the extent the law allows, we are not liable for indirect, incidental, special or consequential losses, or for lost rent, lost deposits, penalties, court costs, attorney fees or judgments that result from relying on Sproutly. Our total liability for all claims about Sproutly together is limited to the greater of the amount you paid us in the 12 months before the claim arose and $100. Nothing in these terms limits liability that the law does not allow us to limit.

15. You protect us from claims arising from your use

To the extent the law allows, you agree to defend, indemnify and hold harmless Natively and the people who work for it from claims, losses, damages, penalties and costs (including reasonable attorney fees) that arise from your use of Sproutly. That includes claims brought by tenants, applicants, co-signers or other third parties about the notices, leases, deposit statements, screening and rent decisions you made or served, and claims that you broke these terms or the law.

16. Disputes: individual arbitration

Before either of us starts a claim, please send us a message and give us 30 days to try to resolve it.

To the extent the law allows, any dispute between you and us about Sproutly or these terms is decided by binding arbitration run by the American Arbitration Association under its rules for consumer or commercial disputes, whichever fits. The arbitration takes place in California, by video or in person as the rules allow. A court may decide whether this section applies, and the arbitrator applies California law.

Individual claims only. You and we each give up the right to bring or join a class, collective or representative action, and the right to a jury trial. The arbitrator may award relief only to the person who brought the claim.

Small claims. Either of us may instead bring an individual claim in small claims court, and either of us may go to court to stop misuse of intellectual property.

You can opt out. Within 30 days after you first accept these terms, you can opt out of arbitration and the class and jury waivers by sending us a message that says you opt out. Opting out does not change anything else in these terms.

17. Time limit for claims

To the extent the law allows, any claim you have against us about Sproutly must be brought within one year after it arose. A claim brought later is barred.

18. No third-party beneficiaries

These terms are between you and us. Your tenants, applicants, co-signers and other people who deal with you are not parties to them, have no rights under them, and cannot enforce them. We owe them no duty through these terms. Tenants, applicants and guarantors who use Sproutly agree to our separate Tenant Terms.

19. Closing your account

You can close your account at any time from Settings. After closing, the account owner can read and export records for 30 days, and data is purged after that unless a deposit, dispute or notice is still open. We may suspend or close an account that breaks these terms or puts other people at risk. Sections 1, 2, 3, 4, 5, 13, 14, 15, 16, 17, 18 and 21 continue to apply after an account closes.

20. Changes

We may update these terms. When we do, we change the effective date above, and for a change that matters we ask you to accept the new version in the app. You must accept a change that matters in the app before you can use the console again. Using Sproutly after a change means you accept the updated terms.

21. Governing law, severability and whole agreement

These terms are governed by California law. If a part of these terms cannot be enforced, that part is limited or removed to the extent needed, and the rest stays in force. These terms are the entire agreement between you and us about Sproutly and replace any earlier terms or understandings about it.

22. Contact
